ファクトは正しい。それでも分析は間違う―AI投資「見えざる債務」268兆円の読み方

 

日本経済新聞は、米国のビッグテック5社が抱えるAI関連の「見えざる債務」が、合計1兆6500億ドル、約268兆円に達したと報じました。

対象は、アルファベット、マイクロソフト、アマゾン、メタ、オラクルです。貸借対照表に計上されている債務の合計を上回り、AI需要が伸びなければ大きなリスクになると指摘しています。

268兆円という数字には、たしかに迫力があります。しかし、この記事を読んで最初に確認すべきなのは、金額の大きさではありません。

いったい何を合計した数字なのかです。

性質の異なるものが一つにまとめられている

記事で「見えざる債務」とされているものには、少なくとも次のような項目が含まれています。

  • GPUやサーバーの長期購入契約

  • 稼働前のデータセンターに関するリース契約

  • データセンター運営会社や共同出資会社の借入

  • 解約時の損失補償

  • 残価保証や最低利用保証

  • ビッグテック本体の借入金や社債

これらは、同じものではありません。

購入契約は商品の引き渡しを受け、その対価を支払う契約です。リース契約は、資産を一定期間利用する契約です。共同出資会社の借入は、原則として、その会社が返済義務を負います。保証契約は、一定の条件が成立した場合に初めてビッグテック本体に負担が発生します。

会計処理も、法的な支払義務も、破綻時の損失負担者も異なります。それらをすべて「債務」と呼び、単純に合計しても、企業の破綻リスクを示す数字にはなりません。

ファクトが間違っているわけではありません。問題は、分類の仕方です。

SPVを使う目的はリスクを分離することにある

ビッグテックは、データセンターの建設に共同出資会社や特別目的会社、いわゆるSPVを利用しています。

この仕組みには、初期投資を抑えるだけでなく、データセンターの保有リスクや資金調達リスクを本体から切り離す目的があります。

プロジェクトが失敗した場合、まず損失を負うのはSPVへの出資者や融資者です。SPVが破綻したからといって、その債務全額が当然にビッグテック本体へ移るわけではありません。

もちろん、完全に無関係ということでもありません。

ビッグテック本体がリース料、最低利用量、残価、解約損失などを保証していれば、その範囲では負担が発生します。また、法的義務がなくても、信用維持や事業継続のためにSPVを救済する可能性もあります。

したがって、確認すべきなのはSPVの債務総額ではありません。

ビッグテック本体が、どの条件で、最大いくら負担する契約になっているのか。

これを会社別、契約別に調べなければ、信用リスクは評価できません。

AI投資の失敗と本体の破綻は別の問題である

AI需要が想定を下回れば、ビッグテックの企業価値には当然影響します。

データセンターの稼働率が下がり、クラウド事業の成長率が鈍化すれば、投資回収期間は長くなります。長期リース料や購入契約が残れば、フリーキャッシュフローも圧迫されます。AI成長を織り込んだ株価は下落し、信用格付けが悪化する可能性もあります。

しかし、これは「AI投資の失敗によって企業価値が低下する」という話です。

「268兆円の簿外債務によって、ビッグテック本体が破綻する」という話ではありません。

両者を同じものとして扱うと、投資リスク、信用リスク、法的債務が混同されます。

受注残と将来負担も単純には相殺できない

ビッグテック側は、クラウド事業などの巨額の受注残を根拠に、AI投資は投機的なものではないと説明しています。

しかし、受注残があるから安全だと断定することもできません。

受注残には、契約期間、解約条件、売上計上時期、顧客の信用力、利益率などの違いがあります。将来の売上1ドルと、解約不能な支出1ドルは同じではありません。

「見えざる債務」の総額だけで危険と判断するのも雑ですが、受注残の総額だけで安全と判断するのも同じように雑です。

必要なのは、将来の収入と支出を年度別、契約別、リスク負担者別に分解することです。

エンロンとの比較は適切なのか

記事は、SPVを利用した簿外債務によって破綻したエンロンにも言及しています。

しかし、SPVを使っているというだけで、今回の仕組みをエンロンと同一視することはできません。

エンロン問題の本質は、実質的に自社が負担していた損失や債務をSPVに移し、財務実態を意図的に分かりにくくしたことにあります。

今回のAI投資では、外部の投資家や金融機関が実際に資金を提供し、プロジェクトリスクを負担しているケースがあります。契約内容が決算書の注記に開示されているものもあります。

問題があるとすれば、SPVの存在そのものではありません。形式上は本体から分離されていても、保証契約などによって実質的なリスクが本体に戻っていないかという点です。

それはエンロンという名前を持ち出すだけでは分かりません。契約を読む必要があります。

巨大な数字より、分類を疑う

この記事の基礎となった問題意識は、米国でもすでに広がっています。金融機関や海外メディアは、購入契約、開始前リース、SPVによる資金調達を「簿外債務」として取り上げてきました。

日経だけが独自に作った議論ではありません。

しかし、海外の金融機関や有力メディアが使った分類だからといって、その分類まで正しいとは限りません。異なる性質のものを一つの言葉で括れば、大きな数字は作れます。しかし、その数字から何が分かるのかは別問題です。

この記事は、重要な教材になると思います。

個々のファクトが正しくても、分類が間違っていれば分析は間違う。

数字を疑うだけでは足りません。数字を作る前に、何と何を同じ箱に入れたのかを確認する必要があります。

AI投資のリスクを検証することは重要です。しかし「見えざる債務268兆円」という一つの数字にまとめるのではなく、投資リスク、契約上の支払義務、保証リスク、SPVの信用リスク、本体の破綻リスクを分けて考えるべきです。

見えない債務を探す前に、見えなくなった分類を取り戻すことが先ではないでしょうか。


The Facts May Be Correct, Yet the Analysis Can Still Be Wrong: How to Read Big Tech’s “Hidden” $1.65 Trillion AI Liability

Nikkei reported that five major U.S. technology companies have accumulated $1.65 trillion—approximately ¥268 trillion—in future AI-related obligations that do not currently appear on their balance sheets.

The companies are Alphabet, Microsoft, Amazon, Meta and Oracle. According to the article, their combined off-balance-sheet obligations now exceed the liabilities recorded on their balance sheets and could become a serious risk if AI demand falls short of expectations.

The number is certainly striking. But the first question should not be how large it is.

The first question should be:

What exactly has been added together?

Different obligations have been placed in the same category

The article’s “hidden liabilities” appear to include several different items:

  • Long-term purchase commitments for GPUs and servers

  • Leases for data centers that have not yet commenced

  • Borrowings by data center operators and joint ventures

  • Termination-loss guarantees

  • Residual-value and minimum-usage guarantees

  • Bonds and borrowings of the technology companies themselves

These are not economically or legally identical.

A purchase commitment is an agreement to receive goods and pay for them. A lease gives a company the right to use an asset for a specified period. Debt incurred by a joint venture is, in principle, repayable by that entity. A guarantee creates an obligation for the parent company only under specified conditions.

Their accounting treatment, legal enforceability and loss allocation in bankruptcy are different.

Adding all of them together and calling the result “debt” does not produce a meaningful measure of corporate default risk.

The underlying facts may be correct. The problem lies in their classification.

The purpose of an SPV is to separate risk

Big Tech companies increasingly use joint ventures and special-purpose vehicles, or SPVs, to build and finance data centers.

These structures reduce the companies’ initial capital requirements. They can also separate ownership, financing and project risks from the parent company.

If a project fails, the first losses are generally borne by the SPV’s equity investors and lenders. The failure of an SPV does not automatically transfer all of its debt to the Big Tech company using the data center.

That does not mean the parent company is unaffected.

It may have guaranteed lease payments, minimum usage, residual value or termination losses. Even without a legal obligation, it may choose to support the SPV to protect its reputation or maintain access to strategically important computing capacity.

The relevant question is therefore not the SPV’s total debt.

It is:

Under what conditions, and up to what amount, is the Big Tech parent contractually required to bear the loss?

Without answering that question for each company and each contract, it is impossible to assess the parent company’s credit risk properly.

A failed AI investment is not the same as a parent-company bankruptcy

If AI demand disappoints, the value of Big Tech companies will undoubtedly be affected.

Lower data center utilization and slower cloud growth would extend investment payback periods. Purchase commitments and fixed lease payments could reduce free cash flow. Share prices based on high AI growth expectations could decline, and credit ratings could come under pressure.

But that is a story about failed investment reducing enterprise value.

It is not necessarily a story about $1.65 trillion of off-balance-sheet debt causing the parent companies to fail.

Treating the two as equivalent mixes investment risk, credit risk and legally enforceable debt.

Revenue backlog cannot simply offset future obligations

The companies argue that their large cloud and AI revenue backlogs demonstrate that the investment is not speculative.

That claim also requires careful examination.

Backlog figures differ in contract duration, cancellation rights, revenue-recognition timing, customer credit quality and profitability. One dollar of future revenue is not equivalent to one dollar of non-cancellable expenditure.

It is too simplistic to declare the companies unsafe based on the total commitments. It is equally simplistic to declare them safe based on the total backlog.

Future cash inflows and outflows must be separated by year, contract and ultimate risk bearer.

Is the Enron comparison appropriate?

The article also refers to Enron, which collapsed after using special-purpose entities to obscure debt and losses.

But the mere use of SPVs does not make the current AI financing structures comparable to Enron.

The central problem at Enron was that losses and obligations that were economically borne by Enron were shifted into affiliated entities to conceal the company’s true financial condition.

In current AI projects, outside investors and lenders may be providing genuine risk capital and assuming real project risk. Some future commitments are also disclosed in the notes to financial statements.

The issue is not the existence of the SPV itself. It is whether guarantees and other contractual arrangements return the economic risk to the parent despite the formal separation.

Answering that question requires reading the contracts. Invoking Enron does not answer it.

Question the classification before reacting to the number

The concerns underlying the Nikkei article did not originate in Japan. Financial institutions and international media have already described purchase commitments, pre-commencement leases and SPV financing as off-balance-sheet AI liabilities.

But classifications do not become correct merely because they are used by major financial institutions or respected media organizations.

Combining unlike items under one label creates a dramatic number. It does not necessarily create useful analysis.

This makes the article a valuable teaching case:

Even when each fact is correct, the analysis can still be wrong if the classification is wrong.

It is not enough to question the numbers. Before accepting the total, we must ask which items were placed in the same analytical box.

The risks of AI investment deserve serious examination. But investment risk, contractual payment obligations, guarantees, SPV credit risk and parent-company default risk should be analyzed separately.

Before searching for hidden liabilities, perhaps we should first recover the distinctions that the headline has hidden.
